Terms of Service
1. Agreement
These General Terms of Service (“Terms”) govern your use of orvica.coand its products, including Helix, LedgerOne, and Volt (collectively, the “Service”), operated by Orvica LLC, a Connecticut limited liability company (“Orvica,” “we,” “us,” “our”). By creating an account or using the Service you agree to these Terms, our Privacy Policy, our Information Security Policy, and any product-specific terms that apply to features you use.
Your use of specific Orvica products may be subject to additional terms, including the Helix Health Terms, LedgerOne Financial Terms, Volt Merchant Agreement, SMS Terms, AI Supplemental Terms, Refund & Cancellation Policy, Acceptable Use Policy, a Business Associate Agreement, and a Data Processing Addendum.
Electronic contracting.By clicking “I agree,” creating an account, accessing the Service, or using any paid feature, you agree to be bound by these Terms. You consent to contracting electronically and agree that electronic signatures, clickwrap acceptance, account registration, and electronic records have the same legal effect as physical signatures and paper records.
Order of precedence. If these Terms conflict with any product-specific terms, order form, Business Associate Agreement, Data Processing Addendum, Merchant Agreement, SMS Terms, AI Supplemental Terms, or written agreement signed by Orvica, the more specific agreement controls solely with respect to the applicable product, feature, data type, or relationship.
Orvica provides software and workflow tools. We do not provide medical, legal, financial, tax, investment, accounting, banking, insurance, credit-repair, debt-collection, or money-transmission services unless a separate written agreement expressly says otherwise.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service you represent that the information you provide is accurate and that you have authority to bind yourself to these Terms. If you use the Service on behalf of a company, practice, household, patient, dependent, merchant, or other person, you represent that you have authority to do so.
Authority over third-party data. You represent and warrant that you have all rights, permissions, consents, authorizations, and legal authority necessary to submit, upload, store, process, disclose, transmit, or otherwise use any information relating to another person through the Service, including personal information, health information, financial information, payment information, household information, dependent information, caregiver information, customer information, merchant information, and contact information.
Minors and dependents.The Service is intended for adults. You may submit information about a minor, dependent, patient, or care recipient only if you are legally authorized to do so (e.g., as a parent, guardian, personal representative, authorized caregiver, healthcare provider, or other person with lawful authority). Parents or guardians may request deletion of a minor's information by contacting privacy@orvica.co.
3. Your account
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- You agree to complete two-factor authentication by email code before accessing protected features.
- Notify us at security@orvica.co immediately if you suspect unauthorized use.
4. Acceptable use
You agree not to:
- Use the Service for unlawful purposes or in violation of applicable law.
- Upload malicious code or attempt to probe, scan, or penetrate the Service without written permission.
- Impersonate another person or misrepresent your affiliation with any person or entity.
- Scrape, reverse engineer, or disassemble the Service except to the extent permitted by law.
- Send unsolicited commercial messages through the Service's invoice or reminder features.
5. Medical disclaimer (Helix)
Helix is an information-management and care-coordination tool. It is not a medical device and does not provide medical advice, diagnosis, or treatment. Features such as pill identification and drug interaction hints are informational only and must not be relied upon as a substitute for professional medical judgment. Always consult a qualified healthcare professional.
6. Financial disclaimer (LedgerOne)
LedgerOne is a personal finance tracking and invoicing tool. It is not a bank, broker, lender, or investment adviser, and the Service does not provide financial, tax, legal, or investment advice. Debt-payoff simulations, balance forecasts, and category breakdowns are estimates based on the inputs you provide; real account balances are authoritative. Always consult a qualified financial professional when making financial decisions.
7. Third-party services
The Service integrates with third-party providers. Each integration is subject to the provider's own terms and privacy policy. You authorize us to exchange data with these providers as needed to deliver the Service you requested.
- Plaid — used by LedgerOne for banking-data connectivity. By linking an institution you accept Plaid's End-User Privacy Policy.
- Stripe — used by Volt for merchant payments via Stripe Connect Express, and by LedgerOne for invoice payment links. Merchants onboarding to Volt additionally accept Stripe's Connected Account Agreement during the hosted onboarding flow.
- Twilio — used for SMS delivery. See §8 below for SMS-specific terms.
- Video providers — used by Helix to launch virtual-care sessions from scheduled appointments. Video quality and availability depend on participant devices, browser permissions, and network connectivity.
- Supabase, Vercel, Resend, Anthropic, Sentry — infrastructure providers (database, hosting, email, AI inference, error monitoring). Subject to each provider's terms.
8. Communications; SMS program
Orvica may send you service communications by email, in-product notification, push notification, phone, or SMS. These communications may relate to account security, privacy, product changes, refills and appointments (Helix), subscription and card-benefit activity (LedgerOne), payments and merchant activity (Volt), billing, support, and legal notices. Product notifications may say “Powered by Orvica” so recipients understand which company operates the messaging.
You can unsubscribe from optional email and non-security product notifications using the link in the message or your notification settings. You cannot opt out of security, privacy, billing, fraud, abuse-prevention, legal, or account-administration notices that are necessary to operate the Service or comply with law.
By providing your phone number and explicitly opting in (during signup or in your account settings), you consent to receive SMS messages from Orvica at the number you provided. Message types include account verification codes, prescription refill alerts (Helix), bill reminders, invoice/payment activity and card-benefit alerts (LedgerOne), and merchant notifications (Volt). Message frequency varies by your account activity. Message and data rates may apply.
Opt-out. Reply STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to any Orvica SMS to be unsubscribed immediately from all non-security SMS. You will receive a single confirmation message. Account-verification codes and legally required account-security notices may continue only when triggered or required.
Help. Reply HELP or INFO to any Orvica SMS to receive support contact information.
Phone numbers and SMS content are not shared with third parties for marketing or advertising. See our Privacy Policy §6 for full details on SMS data handling.
9. Your content
You retain ownership of all content you submit to the Service ("Your Content"). You grant Orvica LLC a limited, non-exclusive license to host, process, and display Your Content solely to deliver the Service to you and those you explicitly authorize. We do not use Your Content to train AI models. Your Content is handled as described in our Privacy Policy.
10. Fees and billing
Orvica offers free and paid plans. Free tiers carry no recurring fee and require no payment instrument. Paid plans, add-ons, and merchant-processing fees are disclosed at checkout or in the applicable pricing page and are billed through Stripe on the cadence selected at checkout. Payment instrument data is collected and stored by Stripe, not by Orvica.
Unless a plan states otherwise at checkout, subscriptions automatically renew until canceled. You may cancel from your account settings, and access to paid features ends at the close of the current billing period. Refunds and cancellation rights are governed by the Refund & Cancellation Policy and any non-waivable consumer-protection law. Volt processing fees, payout timing, reserves, disputes, and chargebacks are governed by the Volt Merchant Agreement and Stripe's terms.
11. Service availability
We aim for high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance or make changes to the Service at any time. Critical interruptions are announced in-product where practical.
12. Termination
You may delete your account at any time. We may suspend or terminate your account if you materially violate these Terms, if required by law, or to protect the Service. On termination, your personal data is removed per the Data Retention and Disposal Policy.
13. Warranty disclaimer
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or uninterrupted.
14. Limitation of liability
To the maximum extent permitted by law, Orvica shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service. Our aggregate liability for any claim shall not exceed the greater of $100 or the amount you paid us (if any) in the 12 months preceding the claim.
15. Indemnification
You agree to indemnify and hold Orvica harmless from any claim arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or the rights of a third party.
16. Changes
We may update these Terms from time to time. Material changes will be communicated by email or in-product notice. Continued use of the Service after the effective date of updated Terms constitutes acceptance of those updates.
17. Governing law & dispute resolution
These Terms are governed by the laws of the United States and the State of Connecticut, without regard to conflict-of-laws principles. Disputes shall be resolved in the state and federal courts located in Connecticut, and you consent to personal jurisdiction there.
Jury-trial waiver. You and Orvica waive any right to a jury trial to the maximum extent permitted by law.
Class-action waiver. You may bring claims only on your own behalf and not as a plaintiff or class member in any class, collective, consolidated, or representative action, to the maximum extent permitted by law.
Carveouts. Either party may bring claims in small-claims court for qualifying disputes and may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
17a. Excluded claims
“Excluded Claims” (i.e., claims not subject to the liability cap in §14) means claims that cannot be limited under applicable law, including claims arising from gross negligence, willful misconduct, fraud, or intentional misconduct, and claims arising under a Business Associate Agreement or signed enterprise agreement that provides an enhanced cap.
